Responsible to ensure overall compliance with laws and regulations of the new REIT and people work for our New REIT Preparation Office (“NRPO”) by a strong teamwork with the existing Compliance Officer in charge of Invincible (“INV CO”). More specifically:
•Develop policies and rules related to compliance matters of the new REIT, implement them, and communicate / report / negotiate with relevant regulatory bodies as required
•Chairman of a Compliance Committee of the new REIT that examines compliance related issues, including but not limited to any transactions / contracts which may face conflicts of interests with related parties, and other important issues of our, and exercise the power of veto if required
•Develop and revise a compliance manual and a compliance program related to the new REIT to ensure compliance with laws and regulations by closely working with INV CO, propose to Compliance Committee and then to the board of our to seek approvals, and implement them
•Report status of compliance with laws and regulations of the new REIT to Compliance Committee
•Develop and revise a plan and implement internal audit of the new REIT by closely working with INV CO
•Request a report of compliance related matters of the new REIT and make a recommendation as required
•Educate and update employees of NRPO and board of directors of oue about law, regulations, market rules, internal rules, and organizational systems / procedures to ensure compliance with laws and regulations by closely working with INV CO
•Develop, revise, and implement required policies / rules to avoid insider trading and manage related information by closely working with INV CO
•Lead our to respond and manage an accident and general complaint / claim related to the new REIT
•Lead our in screening advertisements of the new REIT
•Accept and manage whistle blowing appropriately and protect whistle blowers of NRPO
•Assist the board of new REIT regarding compliance related matters - 必要経験

・More than one-year experience to work as a compliance officer of a listed J-REIT is the highest priority qualification
In case if a candidate does not have the qualification above, a candidate must have more than one-year experience to work as a compliance officer of "Investment management business (投資運用業)" who has discretionary investment management license ("投資一任"), includes asset managers of private real estate fund /REIT and private or listed infrastructure investment trust
・Candidate must have strong oral and written communication skills in Japanese to report to relevant regulatory bodies and write documents in CIM
・Candidate must be a good proactive team worker and be willing to motivate / encourage employees to ensure compliance with laws and regulations, rather than pushing / forcing them
